Williams Companies is close to acquiring Momentum Midstream from EnCap Flatrock Midstream for roughly $5.5bn, in a deal that could rank among the company's largest on record. An announcement may come within days, according to Bloomberg.
Central to the transaction is Momentum's NG3 pipeline system, which began operating recently and can carry 2.3bn cubic feet of natural gas per day. Running from the Haynesville basin in Louisiana to Gulf Coast liquefied natural gas export terminals, NG3 gives Williams direct exposure to one of North America's most active feed-gas corridors at a moment when export demand is rising sharply.
Haynesville has drawn increasing attention from producers and infrastructure companies alike. Its location close to LNG terminals on the Gulf Coast makes it a preferred supply source for exporters seeking reliable, large-volume feed gas. By owning the pipeline connecting field to facility, Williams would occupy a structurally advantaged position along that chain.
For a company already among North America's largest natural gas pipeline operators, the deal deepens an existing strategic direction rather than marking a departure from it. Demand for American LNG has grown steadily as European and Asian buyers seek supply security, and midstream assets on established export routes have attracted sustained acquisition interest.
Should the deal close as expected, it may encourage further consolidation among pipeline operators competing for position on Haynesville-to-coast routes. The competitive implications for the broader Gulf Coast midstream sector remain to be seen.
